A process agent is a representative in England and Wales appointed under a contract to accept service of legal documents, such as court proceedings or arbitration notices, on behalf of a party that has no address here. Service on the agent counts as valid service on you, and the agent notifies you immediately.
What a process agent actually does
When you sign an agreement governed by English law but your company is incorporated elsewhere, the other party needs a reliable way to serve legal documents on you inside the jurisdiction. A process agent provides that. You appoint the agent contractually, the agreement records the agent's name and address, and any notices, claim forms or arbitration documents relating to that agreement can then be served at the agent's address as if they had been served on you.
On receipt, the agent's job is speed and accuracy: recording the documents, notifying you at once and forwarding everything by scan and email, post or courier so that you never miss a deadline that starts running from the date of service.
Why the role exists
Serving documents on a company abroad can take months under international service rules, and lenders and counterparties do not want that uncertainty built into their contracts. Appointing a process agent removes it. Service happens at a fixed address in England and Wales, on a known company, with a clear record of receipt. That is why loan agreements, ISDA Master Agreements, leases, guarantees and many other English law contracts routinely require the overseas party to appoint one before signing.
What a process agent is not
