No. Your agreement requires an agent for service in England and Wales, and an address anywhere in the jurisdiction is equally valid in law. London deals are served just as effectively at our Leeds office, which is why law firms across the City instruct us daily; what matters is permanence, process and speed, not the postcode.
What the clause actually requires
Service of process clauses ask for an agent with an address in England and Wales. The Civil Procedure Rules do not privilege one city over another: documents served on a named agent in Leeds are served, in every legal sense, exactly as they would be at an address off Fleet Street. No counterparty solicitor will reject an appointment because the agent sits outside the capital.
Why being outside London can serve you better
Process agency is a fixed fee, operations driven service, and London overheads find their way into London fees. From our permanent Leeds offices we hold prices at £125 per year and £160 fixed term while running the same day capability City completions demand: scanned letters of appointment to the deal teams within hours, originals couriered where needed, and a 2pm UK cut off for guaranteed same day issue.
Working with London deal teams
The large majority of the transactions we support are negotiated in London: syndicated facilities, ISDA documentation, capital markets issues, property finance. We liaise directly with Magic Circle, international and boutique firms alike, by email and phone in real time, and our team is available Monday to Friday, 09:00 to 17:15. If your checklist says London process agent, what it needs is an England and Wales agent who answers immediately; that is us.
